Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Kairo ("Kairo Guard," "Company," "we," "us," or "our") governing your access to and use of the Kairo Guard application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Service Description

Kairo Guard is a non-custodial cryptocurrency wallet that provides:

• 2PC-MPC (Two-Party Computation Multi-Party Computation) key management
• On-chain policy enforcement for transaction security
• Recovery mechanisms without traditional seed phrases
• Integration with existing cryptocurrency wallets

Non-Custodial Nature: Kairo Guard does not have custody or control over your cryptocurrency assets. You maintain sole control over your funds through your device's key share. We cannot access, freeze, or transfer your assets without your cryptographic authorization.

Eligibility

To use Kairo Guard, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be located in a jurisdiction where use of the Service is prohibited
• Not be on any sanctions list or prohibited from using cryptocurrency services

User Responsibilities

Key Management

You are solely responsible for:

• Securing your device and passkey credentials
• Maintaining access to your recovery contacts and methods
• Keeping your device's key share secure
• Understanding that loss of your key share may result in permanent loss of access to your funds

Account Security

• You must protect your device from unauthorized access
• You are responsible for all activity under your wallet
• You must immediately notify us of any security breaches
• You should configure recovery options while you have access

Policy Configuration

• You are responsible for setting appropriate security policies
• We are not liable for losses due to misconfigured policies
• Policy changes are irreversible once confirmed on-chain

Prohibited Uses

You agree not to use the Service for:

• Any illegal activity, including money laundering or terrorist financing
• Fraud, scams, or deceptive practices
• Circumventing sanctions or export controls
• Interfering with or disrupting the Service or network
• Attempting to gain unauthorized access to our systems
• Reverse engineering or decompiling the software
• Any activity that violates applicable laws or regulations

Beta Software Disclaimer

KAIRO GUARD IS CURRENTLY IN BETA. The Service is provided on a testnet basis and may contain bugs, errors, or other issues that could cause loss of funds or other damages.

• Beta features may be modified or discontinued without notice
• Testnet tokens have no monetary value
• Do not use the beta version to store significant assets
• Data from the beta period may not transfer to mainnet

Kairo Guard does not provide financial, investment, legal, or tax advice. All information provided through the Service is for informational purposes only.

• We are not a financial institution or fiduciary
• Cryptocurrency investments carry significant risk
• You should consult qualified professionals before making financial decisions
• Past performance is not indicative of future results

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIRO AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF CRYPTOCURRENCY OR DIGITAL ASSETS
• LOSS OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR COMPUTER DAMAGE
• COST OF SUBSTITUTE SERVICES
• UNAUTHORIZED ACCESS TO YOUR WALLET

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

Indemnification

You agree to indemnify, defend, and hold harmless Kairo and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable law or regulation.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
